GEM55 and/or its affiliates and subsidiaries (collectively, “GEM55” “Company” “we” or “us”) are pleased to provide you, the user of GEM55, as defined (“you” “your” “player”) certain websites, software, applications, games, content, products and services in any format or channel, now known or hereafter referred (“GEM55 Products” and “Products”).

PLEASE READ THE T&C BEFORE USING THE GEM55 PRODUCTS. THESE T&C GOVERN YOUR USE OF THE GEM55 PRODUCTS IN GENERAL. BY USING THE GEM55 PRODUCTS, YOU AGREE TO BE BOUND BY THESE T&C.

ANY DISPUTES BETWEEN YOU AND US, INCLUSIVE OF SUCCESSORS AND ASSIGNS, WHETHER UNDER THESE T&C, RELATED AGREEMENTS OR ACTIONS CONNECTED TO THESE T&C, SHALL BE RESOLVED EXCLUSIVELY THROUGH ARBITRATION.

1. General

GEM555 is operated by Liquid Entertainment N.V., a Company incorporated under the laws of Curaçao with Company Number 153298 and licensed by the Curaçao Gaming Control Board to offer games of chance under license number OGL/2024/1507/0838 in accordance with the National Ordinance on Offshore Games of Hazard (Landsverordening buitengaatse hazardspelen, P.B. 1993, no. 63) (NOOGH).

These T&C govern your use of the services, games, and functionalities provided via GEM55 and its associated platforms, including internet and mobile platforms. By accessing or using the Products, you agree to be bound by these T&C, forming a legally binding agreement between you and the Company.

1.3.1. These T&C are a contract between you and GEM55 as a Company, and its affiliates and subsidiaries.

1.3.2. These T&C come into effect immediately upon registration of an account on GEM55 Products. By registering, you confirm that you have read, understood, and agreed to these T&C in their entirety. You represent to the Company that you have read, understood, and expressly agree to be bound by this Agreement, and the terms and conditions, and notices contained or referenced herein, whether you have created a GEM55 account (and agree to this Agreement at the time you created that account) or whether you simply browse, use, or access a GEM55 Product offered directly by the Company or through a third party (and agree to this Agreement when you browse, use, or access any aspect of the GEM55 Product).If you do not agree to the Agreement, you may not use the GEM55 Products.

1.3.3. This Agreement governs the GEM55 Products in general. More specific and/or supplemental terms and conditions may apply to some Products, including but not limited to, a particular contest, sweepstakes or promotion, software, application, promotional code, service or other activity; availability of certain merchandise, content, providers, prizes, games or activities; conditions or other limitations to the GEM55 Products for users under certain ages; and/or specific terms or restrictions that may accompany certain territories, providers, Products, websites, applications, or other software. Any supplemental T&C are in addition to this Agreement and, in the event of a conflict, the supplemental terms will prevail over this Agreement. If you do not agree to the applicable supplemental T&C disclosed, you may not use the GEM55 Product(s).

1.4.1. We may need to make changes to any portion of this Agreement from time to time and for several reasons, including to reflect updates to the GEM55 Products or changes in limitations. The Company reserves the right to modify, amend or update these T&C at any time, with or without prior notice.

1.4.2. You are responsible for periodically reviewing this Agreement for updates and amendments.

1.4.3. Continued use of any GEM55 Products constitutes your acceptance of any amendments made to these T&C. If you do not agree to any change to this Agreement, you must discontinue using the GEM55 Products.

1.5.1. Specific rules and explanations for individual games provided on GEM55 are incorporated into these T&C by reference.

1.5.2. By registering an account with GEM55 (and agreeing to this Agreement at the time you created that account), you confirm that you know and understand the rules of the games offered by the Company. It is at your discretion to familiarise yourself with the theoretical payout percentage of each game.

1.6.1. GEM55 accepts players only from those countries and geographic regions where online gambling is allowed by law. Your consent to the T&C confirms that you are solely responsible for participating in games of chance offered by the Company and do not breach the laws applicable to you in the local jurisdiction.

1.6.2. Depositing real funds and playing for real money is subject to the laws of your country, and it is your sole responsibility to abide by your local regulations. Players are strongly recommended to inquire about the existing and applicable gambling laws and regulations before participating in games of chance on GEM55.

1.6.3. The Company reserves the right to verify your identity upon your registration of a GEM55 account (and agree to this Agreement at the time you created that account). Should you breach the Restricted Countries Policy, the Company does not guarantee the availability of a refund in case you manage to complete payment in breach of the policy. Notwithstanding the above, the Company will apply reasonable measures to remit the funds.

1.6.4. Any winnings obtained from the bonus regardless of the event or reason that occurred, issued to the player from the countries listed as “Restricted” or "Restricted for receiving bonuses” is automatically considered void.

1.6.5. 1.6.6. GEM55 cannot guarantee successful processing of withdrawals or refunds in the event that player(s) breaches this Restricted Countries Policy.

2. Eligibility

2.1.1. All users must be over eighteen (18) years of age, or such other legal age of majority as determined by any laws which are applicable to you, whichever age is greater or older. The Company reserves the right to ask for proof of age from any player and suspend their GEM55 account until satisfactory documentation is submitted. The Company takes the responsibilities regarding under age and responsible gaming very seriously.

2.1.2. GEM55 will not accept registration from individuals:

c). Provide misleading information or try to pass by third parties.

2.1.3. The Company reserves the right to refuse any application for a GEM55 Account, at its sole discretion.

2.2.1. You are legally allowed to interact with the Products under the laws applicable to you. It is your sole responsibility to ensure that your involvement with the Company is legal under the laws of your jurisdiction of residence.

2.2.2. You interact with the Products strictly in your personal non-professional capacity for recreational and entertainment reasons only.

2.2.3. You interact with the Company on your behalf and not on behalf of any other individual.

3. Your Member Account

3.1.1. To access GEM55 Products, the player must submit an application for registration and opening of a GEM55 account. The application for the opening of the GEM55 account must be submitted personally, and will require you to provide a set of personal information, including, but not limited to your full name, e-mail address, date of birth, address, etc.. The Company may require additional documentation or identity verification as part of the registration process to comply with regulations.

3.1.2. Where the information stipulated in 3.1.1. Is not provided and/or is not deemed to be complete, accurate or up-to-date at any point in time, the Company reserves the right to suspend/ block the GEM55 account registration and treat any subsequent potentially accepted deposits to the player’s GEM55 account as invalid (and any winnings arising from such deposit as void.) In the event where a GEM55 account is suspended, you should contact the Company customer service.

3.1.3. Each user is permitted to have only one Member account i.e. only one Member account is allowed for each household, IP, and PC. Should you attempt to open more than one Player account, all accounts you try to open may be blocked or closed and any bets made may be considered void. Any returns, deposits, winnings or bonuses which you have gained or accrued during time when the Duplicate Account is active shall be forfeited by you and may be reclaimed by the company. The Player must return to us on demand should any funds have been withdrawn from the Duplicate Account.

3.1.4. If you wish to open another account, you may do so by contacting the company support team via LiveChat. If a new account is opened, the old account will be closed immediately.

You are solely responsible to ensure the security and the confidentiality of your login details. You must not disclose your login details to any other individual. GEM55 is not liable for any abuse or misuse of your Player Account by third parties due to your disclosure, whether accidental intentional, active or passive, of your login details to any third party.

3.1.6. GEM55 reserves the right to refuse to register an Account or to close your Member Account. However all real money funds within your Member Account will be returned and all contractual obligations already made honoured.

3.2.1. Know Your Customer (KYC) is the mandatory player verification procedure designed to ensure that the owner of the Member Account is: a) a real human; b) the funds deposited are of legitimate origin and belong to the owner of the Member Account and c) the funds released to the player by the company will reach the destination payment account and person.

3.2.2. Standard KYC documentation required to complete the verification process is listed below. The Company reserves the right to request for additional documentation at its sole discretion.

3.2.3. Documentation for Proof of Identity: a form of government-issued identification that must contain the following info: full name, date of birth, issuance/ expiry dates, and the photo. Examples of such documentation(s): Passport, identity card, driver’s license.

3.2.4. Proof of payment: the document confirming that you have submitted the payment to the Company. 3.2.5. Proof of address: the document provided to validate your place of residence stated during the registration process displaying your: full name, residential address, and the issuance/ expiry dates. 3.2.6. Even upon completion of the KYC Procedure, you are still obligated to provide additional information by the Company should there be a need for further verification. 3.2.7. GEM55 reserves the right to restrict or delay your access to any/ all GEM55 Products, payment or withdrawal until identity is sufficiently determined, or for any other reason in the Company’s sole discretion. The Company also reserves the right to deem a Player’s information as appropriate to comply with legal process or as otherwise permitted by the privacy policy of GEM55 owner and operator of GEM55) and by using the Service, you acknowledge and consent to the possibility of such disclosure.

3.2.8. Should the company be made aware that any information that has been submitted by you is deemed as fake or fraudulent, the Company reserves the right to terminate your Member Account and confiscate any existing funds in your Member Account.

3.3.1. You are able to close your account by contacting our customer support services. GEM55 will return to you any and all funds from your member account subject to the deduction of relevant withdrawal charges. The method of repayment will be at our absolute discretion.

3.3.2. The Company reserves the right to close your Member Account and to refund to you the “Account Balance”, subject to the deduction of relevant withdrawal charges, at the Company’s absolute discretion and without any obligation to state a reason or provide prior notice.

3.3.3. The Company reserves the right to ask for proof of age from the player and restrict the access to any/ all GEM55 products or suspend the member Account for those who fail to meet this requirement.

GEM55 offers you the option to self-exclude from betting with us, in the case you feel you are no longer able to control your gambling or gamble safely and responsibly.

3.4.1. Players may request self exclusion from GEM55 by contacting our customer support services. Upon self-exclusion, the Member account will be closed and the player (owner of the account) will no longer have access to the account.

3.4.2. If you wish to close your account, you are required to notify the Company of any other accounts that you may have access to, and agree not to open any additional accounts. The company in good faith, will make efforts to prevent an account reopening, but it is your sole responsibility to ensure that no other accounts are opened.

3.4.3. At the point of writing and publishing of these T&C, the Company does not currently offer a loss limit feature. you are solely responsible for managing your gambling activity within your financial capabilities.

3.5.1. GEM55 utilises SSL encryption for secure transactions. All customer data will be treated with confidentiality and will not involve any third-party upon any means, except as required by law.

3.5.2. All withdrawals will be processed to the same payment method used for the player’s deposits. e.g. If your deposits were processed via Bitcoin, any withdrawals will also be using Bitcoin.

3.6.1. All players are only eligible to interact with GEM55 Products if there is sufficient funds in your Member Account.

3.6.2. To deposit Real money funds into your Member account, you can transfer real money funds from your personal wallets or other real money funds related accounts that are listed as one of the available payment method(s) provided by GEM55. The maximum amount of deposit depends on the payment method you decide to use and will appear alongside the payment method options offered by the Company.

3.6.3. Deposited amounts are available on the Member Account within a responsible amount of time after the confirmation of the deposit. Before a withdrawal can be made, all previous deposits need to be confirmed.

3.6.4. The Company reserves the right to use additional procedures and means to verify your identity (Know Your Customer) when placing deposits into your Member Account. This could include (but not limited to) a selfie with a document or form of identification.

3.6.5. You acknowledge and understand that any transactions funding Your Member Account can only be funded by payment methods owned by You.

3.6.6. You should only deposit money into your Member Account for the purpose of You using the funds to place bets/ wager on GEM55 Websites. The Company reserves the right to suspend or close your Member Account if we reasonably believe that you are depositing funds without any intention to place any sporting and/or gaming wagers. 3.6.7. Deposits made are immediately processed and the updated balance is reflected in the GEM55 Member Account immediately whenever a payment service provider is used. The Company does not take responsibility for any delays caused due to its payment system or due to delays caused by third parties.

3.6.8. The funds are not allowed to be transferred from one Member Account to another Member Account of another player.

3.6.9. It is your responsibility to know that:

a). Some payment methods may include additional fees. In this case, the fee will be clearly visible for you in the cashier.

b). Your bank or payment service provider may charge you additional fees for deposits of currency conversion according to their terms and conditions and your use agreement.

3.6.10. The Company can refuse any deposits at its own discretion. Users who have their accounts blocked or suspended shall refrain from depositing at GEM55. Should the owner of a blocked or suspended Member Account try to make deposit(s), the Company has the right to retain the funds.

3.7.1. GEM55 reserves the right to refuse any withdrawal by a Player from their Member Account until the Player is a verified GEM55 Member Account holder and is responsible for making the withdrawal. The withdrawal must be transferred into an account in which the Player is the legal account holder.

3.7.2. The Player must have complied with the minimum wager requirement for each deposit.

3.7.3. The Company reserves all rights to investigate Your account and gaming activity. Under any circumstance(s) where the Company reasonably suspects that you have violated these T&C upon investigation into your account and gaming activity, your Member Account and/or gaming activity, at its own discretion, be delayed or denied of any further deposits, withdrawals and/or game play whilst investigation is underway. You acknowledge and accept that GEM55 is not obligated under any circumstances to provide an explanation regarding the nature of its investigation.

3.7.4. All withdrawals must be completed via the same payment method which you have chosen when making a deposit, except for the cases in which we decide otherwise or are incapable to do so. If you deposit through several payment methods, we reserve the right to split your withdrawal across such payment methods and process each part through the respective payment method at our discretion and in accordance with anti-money laundering policies and regulation.

3.7.5. Should we mistakenly credit your Member Account with winnings that are not accredited to you, in the case of a technical error, human error, or otherwise, the mistaken amount will remain our property and will be deducted from your Member Account. Should you have withdrawn funds that do not belong to you in advance of us becoming aware of the error, the mistaken amount will (without prejudice to other remedies and actions that may be available at law) be deemed as a debt owed to us by you. You are obligated to inform us of the incorrect crediting via any of our communication services.

3.7.6. GEM55 will attempt at best to pay out withdrawals immediately, however some withdrawals may take longer than others, as clearly stated, depending on your choice in method of withdrawal.

3.7.7. You are made aware that funds played with GEM55 are consumed instantly and the Company does not provide any refunds or cancellations of any already wagered funds. GEM55 reserves the right to payout sizable wins in monthly installments.

3.7.8. In order to make a withdrawal, you as a player must play through active deposited amounts at least once prior to the withdrawal. This procedure is an alignment to the anti-money laundering practices. The player is fully responsible for paying all fees and all taxes applied to their winnings according to the laws of the jurisdiction of the player’s residence.

3.7.9. GEM55 is not a financial institution; we do not bear any form of interest on account balances.

3.8.1. This provision is only applicable to registered players with Member Accounts. If a member Account has been inactive for a consecutive period of forty-eight (48) Months, i.e. you have not logged in/ logged out, have not performed any payment-related transactions, your Member Account will be classified as Inactive (Dormant).

3.8.2. Upon your Member Account being classified as Inactive, the Company will make reasonable efforts to contact you regarding the withdrawal of any remaining balance funds under your Member Account via the communication channels which you have provided during the registration process.

3.8.3. In the case when we are unable to contact you, or your account does not get reactivated after a period of seven (7) days after your account has been classified Inactive, the Company reserves the right to charge your Member Account a monthly maintenance fee of a minimum 6 USD (or the equivalent amount in the currency of the balance in your Member Account), for as long as your Member Account has a positive fund balance.

3.8.4. The Company will stop deducting your account for the maintenance fee in the cases if your account has been reactivated or your account balance has reached zero (0). If the balance of the Inactive Member Account has reached zero (0), the account will be closed permanently.

3.8.5. By submitting the consent with this T&C (and agree to this Agreement at the time you created your Member Account), you authorise the Company to debit the maintenance fee from your Member Account should the situation apply to you and/ or your Member Account.

3.9.1. Under certain circumstances, a Member Account may be accredited with a form of ‘bonus’ bound to their specific terms and conditions alongside this T&C; this may include, but is not limited to: Welcome Bonus, Daily Reload Bonus, VIP Switch Bonus, etc. (Terms and Conditions for each bonus, amount of the bonuses and type(s) of bonuses are subject to change from time to time.)

3.9.2. Players can request for a withdrawal before the bonus wagering requirements are met. In this case, both bonus money and derivatives will be removed from the balance and the remaining funds will be available for withdrawal.

3.9.3. You cannot activate previously unused bonuses after a withdrawal request or after the bonus’ validity period is surpassed.

3.9.4. Any bonus can be cancelled before the wagering requirements are met.

3.9.5. Players have the right to refuse any bonuses being offered by the casino.

3.9.6. Only one bonus offer is allowed per person, family, address, email, IP address, phone number, current account number, credit or debit card number, payment system account, one electronic device (computer, tablet, mobile phone, etc.).

3.9.7. Players should avoid using any strategies while playing with an active bonus:

a). Delaying game rounds in any game, including free spins and bonus features, to a later time usage, when player has no wagering requirements;

b). Leaving bets on a table games, and returning to the game after bonus wagering has been completed;

3.9.8. GEM55 has the right to cancel all bonuses and winnings, and/or to confiscate all funds in a Member Account if they were received in an unfair manner or in violation of the rules.

3.9.9. The Company reserves the right to amend the Terms and Conditions for bonuses at any time with or without informing players. You are solely responsible to review the Terms and Conditions for any changes.

4.1.1. You as a player shall be fully responsible for any activities undertaken using your GEM55 Member Account username, inclusive of, but not limited to the participation in games, information input, fund(s) deposit and withdrawal, etc. You are fully aware of any and all behaviour and activities that occur under your GEM55 Member Account.

4.1.2. You acknowledge and agree to respect the security of the Company, our staff, partners, and service providers. You will protect them from any cost, expense, or damages, claims and liabilities under whichever circumstance(s) that may arise in conjunction to your use of GEM55 Products.

4.1.3. You understand and bear the risks which are incurred by the use of our Product(s), Services, etc. The Company bears none of the responsibility for you and your attempts to use our Products and/or services in means or ways which were not intended by The Company.

4.1.4. You agree that any interactions and activity involving any/all GEM55 products are solely on your own behalf and not of any other individual. You also agree that under no circumstance will you transfer or assign any of your rights or obligations under this agreement to any third-party.

4.1.5 You agree that any participation by you with GEM55 and our Products are strictly in your personal, non-professional capacity, intended for recreational and entertainment purposes only.

4.2.1. In relation to the Company and GEM55 Products, users are strictly prohibited from:

a). Engaging in any fraudulent, collusive, fixing or other unlawful activity.

b). Abusing the use of GEM55 Products including bonuses and other promotions.

c). Using any software-assisted methods, techniques, or hardware devices for your participation

d). Using any unfair advantages

e). Opening any extra/ duplicate accounts

f). Fraudulent activities in relation to charge-backs/ rake-back

g). Usage of a stolen, cloned or unauthorised resource of funds

4.2.2. You agree that you will not participate in any prohibited practices or be connected with them in connection with your access to GEM55 Products. You are responsible for the fairness of your gaming process. In the case where you have been made aware of any attempts of collusion, conduct of criminal activities or unfair advantage by other player(s), you will report to the Company.

4.2.3. Should the Company under reasonable condition(s) believe that you have participation or relation in any form of prohibited practices, the Company has the right to:

7.1 At any point shall any provision of these T&C is deemed illegal, invalid, or unenforceable under applicable law, the provision will be severed from these T&C. The deemed severed provision shall not affect the validity and/ or the enforceability of the remaining provisions. The remaining provisions shall continue to be valid, binding and enforceable in alignment with the law.

7.2 The provision which has been severed may be replaced or reiterated in a manner which is consistent with the original intent of this T&C whilst preserving the purpose and effect of the agreement as closely as possible.

8.1 GEM55 reserves the right to assign or lawfully transfer this Agreement in whole or in part, at any given time, with or without notice.

8.2 You as a user are not permitted to assign or transfer any of your rights or liabilities under this Agreement.

9.1 If you wish to request for a refund, you are entitled to make the request within the first twenty-four (24) hours after the transaction for it to be considered. (Allowance of thirty (30) calendar days is given in the case that your claim is regarding another party that has gained access to your account).

9.2 In the case in which you have deposited into your Member Account with Credit Card as your choice of payment method, we reserve the right to process all withdrawal requests as refunds up to the total amount of deposits. If you have withdrawn more funds than deposited, the Company will pay out the balance amount via another payment method at our discretion.

9.3 Any/all bonuses and winnings contributing to your balance will be removed prior to processing and calculating for an accurate refund amount.

PLEASE READ THIS PROVISION CAREFULLY —YOU ARE AGREEING TO RESOLVE ALL DISPUTES BETWEEN YOU AND GEM55 THROUGH BINDING INDIVIDUAL ARBITRATION AND INCLUDE A CLASS ACTION WAIVER AND JURY TRIAL WAIVER.

11.1 You agree to resolve, by binding individual arbitration as provided below, any and all disputes that may arise between you and the Company,(inclusive of their successors in title under general or special title as a result of this Agreement or as a result of further agreements and other acts in connection with this Agreement) except for: any claim that is not a class action, shall be settled exclusively by arbitration in Curacao and in accordance with Curacao Civil Procedure Rules.

11.2 “Dispute” includes any claim, dispute action, or other controversy, regardless if it is based on past, present or future events, whether contract based, tort, statute, or common law between you and the Company concerning the GEM55 products or this Agreement, or this exclusive authority to resolve any dispute relating to the interpretation, applicability, or enforceability of these terms or the formation of this Agreement, including, without limitation, the arbitrability of any dispute and any claim that all or any part of this Agreement is void or voidable.

YOU AND GEM55 AGREE TO WAIVE CLASS ACTION PROCEDURES.

11.3 Neither you nor GEM55 will seek to have a dispute heard as a class action or private attorney general action or private attorney general action or in any other proceeding in which any party acts or proposes to act in a representative capacity. You and we agree not to, and expressly waive any right to, file a class action or seek relief on a class basis. No arbitration or proceeding can be combined with another without the prior written consent of all parties to the applicable arbitrations or proceedings.

11.4.1. In the event of a dispute, you and the Company agree to attempt to avoid the costs of formal dispute resolution by giving each party a full and fair opportunity to address and resolve the Dispute informally.

11.4.2. The claiming party must send to the other party a notice of a Dispute, which is a written statement that sets forth the name, address, and contact information of the party giving the notice, detailed factual information sufficient to evaluate the merits of the claiming party’s individualized claim, and the specific relief sought, including whatever amount of money is demanded and the means by which the demanding party calculated the claimed damages.

11.4.3. We will send any notice of a Dispute to you at the contact information we have available for you, which may include, if applicable, the contact information associated with your GEM55 member Account. You and the Company will attempt to resolve a Dispute through informal negotiation within sixty (60) days beginning from the date the notice of a Dispute is sent. This informal negotiation requires an individual meet-and-confer in person, or via teleconference or videoconference, that addresses only the Dispute between you and the Company (the “Conference”).

11.4.5. The Company will participate in the Conference through one or more representatives, which may include our counsel. After the end of the sixty (60) day informal negotiation period and not before, and only after the completion of the Conference with respect to a claim, you or we may commence an arbitration proceeding regarding that claim. Nothing in this provision is intended to prohibit the parties from engaging in informal communications to resolve the initiating party’s claims before, during, or after any Conference or filing in small claims court. Each party agrees that a court may enter injunctive relief to enforce the pre-filing requirements of this paragraph, including an injunction to stay an arbitration that has been commenced in violation of this provision.

11.5 This arbitration agreement will survive the termination of your relationship with GEM55, including any revocation of consent or other action by you to end your engagement with or use of any GEM55 Products or any communication with us.
